Understanding the Settlement Agreement in the Netherlands (Vaststellingsovereenkomst)
What Is a Settlement Agreement in the Netherlands?
A settlement agreement (in Dutch: vaststellingsovereenkomst) is a mutual agreement between an employer and an employee to terminate the employment contract. It is commonly used in the Netherlands to avoid lengthy legal procedures or the formal dismissal route via the UWV (Employee Insurance Agency) or court.
This agreement sets out the conditions under which the employment ends, including compensation, notice period, final payment, and any additional terms.
When Is a Settlement Agreement Used?
Settlement agreements are typically used in situations such as:
Economic redundancy
Reorganization or downsizing
Conflicts in the workplace
Long-term illness (second year of sick leave)
Employers prefer this route because it is faster, more flexible, and avoids legal uncertainty. For employees, it may be beneficial if properly negotiated.
Key Elements of a Dutch Settlement Agreement
A well-drafted settlement agreement will include:
- Reason for termination (often phrased as mutual agreement)
- Termination date
- Severance pay (based on or above the statutory transition compensation)
- Notice period and continued salary
- Payment of unused vacation days
- Final settlement (eindafrekening)
- Waiver clause (parties waive future claims)
- Confidentiality and non-disparagement clauses
- Reference or recommendation letter (optional)
Can I Get Unemployment Benefits After Signing?
Yes — but only if the agreement is carefully worded. To be eligible for Dutch unemployment benefits (WW-uitkering), the agreement must:
Mention that no urgent cause exists
Clearly state that the termination is at the employer’s initiative
.
Respect the applicable notice period
Incorrect wording can result in losing your right to benefits. Always have a lawyer check the agreement before signing.

Should I Accept the First Offer?
No. Employers often present a standard proposal that is open to negotiation. You may be entitled to:
- A higher severance payment
- Compensation for legal fees
- A later termination date (for more income or time to find a new job)
- Positive reference letter
With legal assistance, better terms are often possible.

Understanding Severance Pay When You’re Dismissed in the Netherlands
If you’re facing dismissal in the Netherlands, you may be entitled to severance pay — known in Dutch as the transitievergoeding or transition compensation. In some cases, you may also be able to negotiate additional compensation on top of this amount.
At Settlement-Agreement.nl, we help English-speaking employees understand their rights and negotiate better severance packages with their employers. Don’t settle for less than you deserve.
What Is Transition Compensation?
Under Dutch employment law, if your employer terminates your contract (or proposes a settlement agreement), you are usually entitled to statutory severance pay. This is called the transition compensation, and it is calculated as follows:
- 1/3 of your monthly gross salary per year of service
- Pro-rated for shorter periods
Additional (Negotiated) Severance Pay
In many cases, especially in voluntary termination agreements (vaststellingsovereenkomst), you can negotiate a higher severance payment. Factors that support higher. We know how to leverage these factors to increase your payout.
Compensation include:
- Long service duration
- Strong legal position (e.g. weak grounds for dismissal)
- Employer wants a fast, quiet solution
- Emotional or reputational damage
- Clause in your contract or collective agreement (CAO)
Why You Shouldn’t Accept the First Offer
Employers often make an initial offer that is far below what you could get. Without legal advice, employees risk:
- Losing thousands of euros in missed compensation
- Signing away important rights
- Becoming ineligible for unemployment benefits due to wrong wording
We make sure your deal is not only fair — but maximized.
